Confidentiality Agreement

Please read and accept the Confidentiality Agreement below to apply to the Partner Program.

CONFIDENTIALITY AGREEMENT
(hereinafter referred to as "NDA")

VAMSOFT Kft. seated in Hungary, 1117 Budapest, Alíz utca 1., registration number: 01-09-986202, tax identification number: 12028209-2-43, represented by Gyula Karakas hereinafter referred to as the "Disclosing Party", and you hereinafter referred to as the "Recipient Party"; (the Disclosing Party and the Recipient Party are hereinafter collectively referred to as the "Parties" and individually as "Party") which read as follows:

PREAMBULUM
The Parties intend to enter into good faith negotiations in relation to the distribution of ORF software product (hereinafter referred to as "Product") developed by the Disclosing Party and the Recipient Party will obtain or become aware of certain confidential information, ideas, concepts, data (further referred to as "Confidential Information").

1. CONFIDENTIAL INFORMATION
1.1 Confidential Information shall include all data, materials, products, technology, computer programs, specifications, manuals, business plans, marketing plans, financial information and other information that are likely to imperil the rightful interest of the owner of such secrets disclosed or submitted to the Recipient Party under or in connection with the present Agreement.
1.2 The Parties agree in that all data, materials, products, technology, computer programs, specifications, manuals, business plans, marketing plans, financial information, and other information the Recipient Party or any persons acting on its behalf becomes aware of in the course of the negotiations constitute trade secret.
1.3 The Recipient Party shall have no obligation under this Agreement with respect to the information which is or becomes publicly available without the breach of this Agreement by the Recipient Party.

2. RECIPIENT PARTY'S OBLIGATION
2.1 The Recipient Party agrees that the Confidential Information shall not be used other than for the purposes of the present Agreement; and shall not be handled anyway whatsoever that may adversely affect the rightful interests of the Disclosing Party or its owners; and shall not be disclosed, published or revealed to any third party without the prior written consent of the Disclosing Party.
2.2 The Recipient Party expressly acknowledges that disclosing any fact or data to any unauthorized third party shall be considered as publication of Confidential Information.
2.3 The obligation of the Recipient Party to keep the confidential Information also applies to any persons acting on its behalf and its employees. The Recipient Party shall not use the Confidential Information other than for the purposes of its business with the Disclosing Party and shall disclose it only to those persons acting on its behalf or its employees with a specific need to know.
2.4 The Recipient Party is obliged to inform about its confidentiality obligation any of the persons acting on its behalf, employees, agents or other persons who use the Confidential Information.
2.5 Confidential Information furnished in tangible form shall not be duplicated or make duplicated partly or completely by the Recipient Party without the prior written consent of the Disclosing Party.

3. OBLIGATIONS OF THE PARTIES
3.1 The Parties agree that the Confidential Information shall be held in confidence from the day of disclosure of the Confidential Information except for the case when the other Party gives expressed exemption in writing.
3.2 The Parties agree in not disclosing the existence of the present Agreement to third parties apart from the persons acting on their behalf and their employees.

4. LIABILITY FOR BREACH OF THE AGREEMENT
4.1 The Parties agree that they are liable for the breach of their obligations under the present Agreement. The Parties are obliged to compensate for any material and non-material damage that they caused to each other or each other's owners by breaching the confidentiality obligations of the present Agreement.
4.2 The Recipient Party shall indemnify the Disclosing Party and any of its owners against any loss or damage which may arise directly or indirectly from the unauthorized disclosure or use of the Confidential Information or any part thereof in breach of this Agreement by the Recipient Party or any persons associated with the Recipient Party to whom Confidential Information has been disclosed whether in performance of or in breach of this Agreement and further against any and all loss or damage which may arise directly or indirectly from any breach of this Agreement.

5. SEVERABILITY
5.1 If any term of this Agreement became invalid or unenforceable, then this Agreement, including all of the remaining terms, will remain in full force and effect.

6. NOTICES
6.1 Any notice required by the purport of this Agreement or given in connection with it, shall be in writing and shall be given to the appropriate Party by personal delivery or by certified mail, postage prepaid, or recognized delivery services or by registered mail with return receipt, or by facsimile, or by e-mail.
6.2 The notices shall be sent to the registered addresses of the Parties (or to such other persons or addresses which are notified in writing by each Party) by hand delivery or by registered mail with return receipt, or by facsimile, or by e-mail:

7. MISCELLANEOUS
7.1 In matters not regulated herein the relevant provisions of the Hungarian law, in particular of the Hungarian Civil Code, shall apply.
7.2 Any disputes arising under or in connection with this Agreement shall be resolved amicably by the Parties. If a dispute cannot be resolved amicably, it shall be resolved by the local court having jurisdiction over VAMSOFT's head office.
7.3 No amendment hereof or addition hereto shall be binding unless made in writing by the Parties.

The Parties accept the present Agreement as fully pursuant to their will and intentions.
